Registered Agent Terms of Service

Terms of Service

Welcome to Georgia Legal Support, LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website located at galegalsupport.com (the “Site”) and our registered agent and related business services (collectively, the “Services”). By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree, you may not use the Site or Services.


1. Eligibility

You must:


  • Be at least 18 years old and legally capable of entering into binding contracts; and
     
  • Be forming or representing a business entity authorized to transact business in the State of Georgia under applicable statutes, including corporations, limited liability companies (LLCs), limited partnerships (LPs), limited liability limited partnerships (LLLPs), and nonprofit corporations.
     

2. Description of Services

Georgia Legal Support, LLC  provides registered agent services in accordance with Georgia law, which include:


  • Maintaining a registered office and agent address in the State of Georgia;
  • Accepting service of process, government correspondence, and compliance-related notices; and
  • Forwarding such documents to you electronically or by mail.
     

Relevant statutory authorities include:


  • Corporations: O.C.G.A. §§ 14-2-501, 14-2-502 
  • Limited Liability Companies: O.C.G.A. §§ 14-11-209, 14-11-210
  • Limited Partnerships and LLLPs: O.C.G.A. §§ 14-9-104, 14-9-105
  • Nonprofit Corporations: O.C.G.A. §§ 14-3-501, 14-3-502
     

Ancillary services may include business filings, document preparation, compliance monitoring, or annual report notifications. These services are not legal advice and do not create an attorney-client relationship.


3. No Legal Advice

We are not a law firm. None of our officers, agents, or employees are acting as your attorney. All materials and communications are provided for informational or administrative purposes only. You should seek legal advice from a licensed Georgia attorney regarding your specific legal questions.


4. Service Term and Renewal

Registered agent services are provided for a one (1) year term beginning on the date of purchase or appointment. Unless canceled per these Terms, the service will automatically renew for additional one-year terms at the then-current rate. You may cancel renewal by providing written notice at least 30 days before your renewal date.


5. Fees, Payment, and Refund Policy

(a) Fees and Payment

All fees must be paid in full at the time of order.  You authorize us to charge your payment method for service renewals unless canceled in advance.
If payment fails or is disputed, we may suspend or terminate Services immediately.


(b) Refund and Chargeback Policy

  • Fees are non-refundable once service has commenced, except where otherwise required by Georgia law.
  • If you initiate a credit card chargeback for a validly delivered Service, we may suspend all ongoing or future Services and pursue collection for unpaid amounts.
  • Refund requests may be considered on a case-by-case basis only for unused, prepaid annual terms.
     

6. Delivery of Documents

We will notify you promptly upon receipt of service of process or official government correspondence. Delivery will be made to your designated email address or mailing address of record. You are solely responsible for maintaining accurate and current contact information. We are not responsible for delays or missed notices caused by your failure to update contact details.


7. Termination of Service

You may terminate Services at any time by written notice. However, Georgia law requires your business to appoint a new registered agent before we can be removed. If you fail to appoint a replacement, we may file a Statement of Resignation of Registered Agent as permitted by:


  • Corporations: O.C.G.A. § 14-2-502(b) 
  • LLCs: O.C.G.A. § 14-11-210(b)
  • Limited Partnerships: O.C.G.A. § 14-9-105(b)
  • Nonprofits: O.C.G.A. § 14-3-502(b)
     

We may terminate Services immediately for:


  • Nonpayment of fees; 
  • Fraudulent or illegal use of our address or services; or
  • Circumstances where continued service would violate law or expose us to liability.
     

8. Electronic Signature Consent

By using our Site or Services, you consent to conduct business electronically.
Your electronic acceptance, including checking an online acceptance box or clicking an “I Agree” button, constitutes your legally binding signature under the Uniform Electronic Transactions Act (O.C.G.A. § 10-12-1 et seq.).

You may withdraw your consent to electronic transactions by notifying us in writing, but such withdrawal will terminate your access to electronic Services.


9. Limitation of Liability

To the maximum extent permitted by law, Georgia Legal Support, LLC, and its affiliates shall not be liable for:


  • Indirect, special, incidental, or consequential damages;
  • Missed deadlines or compliance failures caused by your inaction; or
  • Any damages exceeding the amount paid for the Service in the twelve (12) months preceding the claim.
     

10. Indemnification

You agree to indemnify and hold harmless Georgia Legal Support, LLC, its officers, members, and agents from all claims, damages, or expenses (including reasonable attorney’s fees) arising from:


  • Your use or misuse of the Services; 
  • Your violation of these Terms; or
  • Your noncompliance with Georgia law or failure to maintain proper filings with the Georgia Secretary of State.
     

11. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising from or relating to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.


  • The arbitration shall take place in Habersham County, Georgia. 
  • The decision of the arbitrator shall be final and enforceable in any court of competent jurisdiction.
  • Georgia Legal Support, LLC, shall be entitled to reimbursement for its attorneys' fees, costs, and expenses if it is the prevailing party.  Georgia Legal Support, LLC, shall not be responsible for your attorneys' fees, costs, and/or expenses under any circumstances.
     

Notwithstanding the foregoing, either party may seek temporary injunctive relief in the courts of Habersham County to protect its rights pending arbitration.


12. Privacy

Your use of the Site and Services is governed by our Privacy Policy, which explains how we collect, use, and safeguard your data.  By using our Services, you consent to our collection and handling of your information as described in that policy.


13. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Subject to the arbitration clause above, any legal action shall be brought in the state or federal courts of Habersham County, Georgia.


14. Notices

All notices must be delivered in writing to:

15. Changes to Terms

We may amend these Terms at any time. The “Last Updated” date will reflect the latest version. Continued use of our Services after an update constitutes your acceptance of the revised Terms.


16. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Georgia Legal Support, LLC, regarding the Services and supersede any prior communications, understandings, or agreements.
